mAIndala Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") govern access to and use of the mAIndala platform, including the websites located at maindala.com and maindala.ai, the MCP catalog, community forums, APIs, software interfaces, and any related products, content, features, and services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

If you are using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, and the term "you" includes both you and that entity.

2. Nature of the Platform

mAIndala operates an independent directory, catalog, discovery layer, and access point for third-party Model Context Protocol ("MCP") services, tools, agents, repositories, and related content.

Unless expressly identified by mAIndala in writing, the Platform does not create, own, operate, control, test, audit, certify, endorse, monitor, or guarantee any third-party service, tool, agent, content, listing, repository, or external integration made available through or referenced by the Platform.

Listings and metadata may be obtained from public sources, automated indexing, scraping of publicly available materials, APIs, feeds, and user submissions, and may be incomplete, outdated, inaccurate, misleading, or unauthorized.

Inclusion on the Platform does not constitute endorsement, affiliation, sponsorship, certification, verification, or approval by mAIndala.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Platform.

You represent and warrant that: (a) you meet all eligibility requirements; (b) all information you submit is true, accurate, current, and complete; and (c) your use of the Platform complies with all applicable laws, rules, regulations, and contractual obligations.

4. Accounts and Credentials

You may be required to create an account or use API credentials to access certain portions of the Platform.

You are solely responsible for maintaining the confidentiality and security of your login credentials, API keys, tokens, and account access methods, and for all activities that occur under or through your account, whether or not authorized by you.

You must promptly notify mAIndala of any suspected or actual unauthorized access, credential compromise, or security incident involving your account or use of the Platform.

mAIndala may suspend, restrict, or terminate any account, credential, integration, or access to the Platform at any time, with or without notice, for any reason or no reason, to the maximum extent permitted by applicable law.

5. User Content and Submissions

If you submit, upload, post, transmit, publish, or otherwise make available any listing, review, comment, feedback, repository link, service data, profile, code snippet, forum post, prompt, or other material through the Platform (collectively, "User Content"), you grant mAIndala a worldwide, non-exclusive, sublicensable, transferable, irrevocable, perpetual, royalty-free license to host, store, reproduce, display, perform, modify, adapt, format, distribute, publish, create derivative works from, and otherwise use that User Content for any lawful business purpose related to operating, improving, promoting, securing, analyzing, and providing the Platform.

You represent and warrant that: (a) you own or control all rights necessary to submit the User Content; (b) the User Content does not infringe, misappropriate, or violate any third-party right; (c) the User Content is not false, misleading, deceptive, defamatory, unlawful, or harmful; and (d) the User Content complies with these Terms and all applicable laws.

mAIndala has no obligation to pre-screen, monitor, verify, or remove User Content, but may remove, refuse, modify, or disable access to any User Content at any time, in its sole discretion.

6. Prohibited Conduct

You agree not to, and not to permit any third party to:

mAIndala may investigate any suspected violation of these Terms and may take any action it deems appropriate, including removing content, suspending access, cooperating with law enforcement, and pursuing civil remedies.

7. Third-Party Services and MCP Tools

The Platform may provide links, metadata, access points, catalog entries, documentation, or connection information relating to third-party MCP services, repositories, agents, APIs, software, and tools.

All third-party services are provided strictly for convenience and informational purposes. Your use of any third-party service is solely at your own risk, and mAIndala is not responsible or liable for any third-party product, service, content, availability, security issue, privacy practice, failure, act, omission, or damage.

Third-party MCP services may execute code, access files, interact with systems, call APIs, process data, trigger automations, or take other actions within permissions you grant them, and you are solely responsible for evaluating and controlling those risks.

8. AI Agent Access

The Platform may be accessed by AI agents, autonomous systems, applications, and software clients through APIs or other interfaces.

You are solely responsible for all actions, decisions, outputs, instructions, automations, and consequences arising from any AI agent, system, workflow, or software client that you build, deploy, authorize, connect to, or permit to use the Platform.

mAIndala does not control, direct, supervise, validate, or assume responsibility for the behavior of any AI agent or automated system using the Platform, even if such system relies on Platform content, metadata, or integrations.

9. Intellectual Property

As between you and mAIndala, the Platform, including its design, selection, arrangement, software, code, branding, text, graphics, interfaces, and other content created by or for mAIndala, is owned by mAIndala or its licensors and protected by applicable intellectual property and other laws.

Subject to these Terms, mAIndala grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform solely for its intended lawful purposes. No rights are granted except as expressly stated.

10. Feedback

If you provide suggestions, ideas, enhancement requests, recommendations, corrections, or other feedback regarding the Platform ("Feedback"), mAIndala may use that Feedback for any purpose without restriction, attribution, compensation, or obligation to you.

11. Privacy and Security

Your use of the Platform may involve the transmission, processing, or storage of information, including personal information. You are solely responsible for ensuring that your use of the Platform, and your submission of any data to or through the Platform, complies with all applicable privacy, data protection, security, confidentiality, and AI governance requirements.

mAIndala does not guarantee that the Platform will be secure, uninterrupted, error-free, or free of vulnerabilities, harmful components, or unauthorized access.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT, LISTINGS, DATA, METADATA, CONNECTION INFORMATION, APIs, OUTPUTS, AND RELATED SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," "WITH ALL FAULTS," AND "AS FOUND" BASIS.

mAINDALA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, QUALITY, COMPLETENESS, OR FREEDOM FROM VIRUSES OR HARMFUL CODE.

mAINDALA DOES NOT WARRANT THAT THE PLATFORM OR ANY THIRD-PARTY SERVICE WILL BE ACCURATE, COMPLETE, CURRENT, SAFE, LEGAL, COMPATIBLE, AVAILABLE, ERROR-FREE, OR SUITABLE FOR YOUR NEEDS, OR THAT ANY DEFECTS WILL BE CORRECTED.

NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED FROM mAINDALA OR THROUGH THE PLATFORM WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

13. Release

To the maximum extent permitted by applicable law, you release and forever discharge mAIndala and its affiliates and their respective officers, directors, employees, contractors, agents, licensors, successors, and assigns from any and all claims, demands, causes of action, damages, liabilities, and losses arising out of or relating to: (a) disputes between you and any third party; (b) third-party services, tools, agents, repositories, or listings; (c) User Content; (d) AI agent actions; or (e) your use of or reliance on the Platform.

If you are a California resident, you waive California Civil Code Section 1542, which states: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN THEIR FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY THEM, WOULD HAVE MATERIALLY AFFECTED THEIR SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."

14. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless mAIndala, its affiliates, and each of their respective officers, directors, employees, contractors, agents, licensors, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, investigations, liabilities, damages, judgments, awards, settlements, penalties, fines, losses, costs, and expenses, including reasonable attorneys' fees and costs, arising out of or relating to:

mAIndala may assume the exclusive defense and control of any matter subject to indemnification by you, and you will cooperate fully, at your expense, in the defense of that matter. You may not settle any matter without mAIndala's prior written consent.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE INDEMNIFIED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, INCOME, BUSINESS, SAVINGS, GOODWILL, USE, DATA, CONTRACTS, OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, ANY THIRD-PARTY SERVICE, OR ANY CONTENT OR MATERIALS MADE AVAILABLE THROUGH THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL CUMULATIVE LIABILITY OF THE INDEMNIFIED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, AND ANY RELATED SERVICES WILL NOT EXCEED THE GREATER OF: (A) ONE U.S. DOLLAR (US$1); OR (B) THE TOTAL AMOUNT PAID BY YOU TO mAINDALA, IF ANY, FOR ACCESS TO THE PLATFORM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The exclusions and limitations in these Terms apply regardless of the form of action, whether in contract, tort, negligence, strict liability, statute, or otherwise, and even if any limited remedy fails of its essential purpose.

Some jurisdictions do not allow certain disclaimers, exclusions, waivers, or limitations of liability, so some of the above provisions may not apply to you to the extent prohibited by law.

16. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully. It affects legal rights, including the right to sue in court and the right to have claims heard by a jury.

16.1 Informal Resolution

Before initiating any claim, you agree to first provide written notice of the dispute to mAIndala and attempt to resolve the matter informally for at least 30 days.

16.2 Binding Arbitration

Except for claims that qualify for small claims court, and except for claims by mAIndala seeking injunctive or equitable relief relating to intellectual property, misuse of the Platform, unauthorized access, scraping, security incidents, or other violations of these Terms, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable.

The arbitration will be conducted in Santa Clara County, California, unless the parties agree otherwise. If in-person arbitration is not required, the arbitration may be conducted remotely, by documents, video conference, or telephone.

The arbitrator will have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court of competent jurisdiction may decide issues relating to the enforceability of the class action waiver below.

16.3 Class Action and Jury Trial Waiver

To the maximum extent permitted by applicable law, you and mAIndala each agree that any dispute will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, representative, coordinated, mass, or private attorney general action or proceeding.

To the maximum extent permitted by applicable law, you and mAIndala knowingly, voluntarily, and irrevocably waive any right to a jury trial in any proceeding arising out of or relating to these Terms or the Platform.

16.4 Opt-Out

You may opt out of this arbitration provision by sending written notice to mAIndala within 30 days after first accepting these Terms. Your notice must include your full name, contact information, and a clear statement that you wish to opt out of arbitration.

17. Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms or the Platform will be governed by and construed in accordance with the laws of the State of California and, to the extent applicable, the federal laws of the United States, without regard to conflict-of-law principles.

If a dispute is not subject to arbitration, you and mAIndala agree that exclusive jurisdiction and venue will lie in the state and federal courts located in Santa Clara County, California, and each party irrevocably waives any objection based on personal jurisdiction, venue, or forum non conveniens.

18. Injunctive Relief

You acknowledge that any actual or threatened breach of these Terms relating to intellectual property, confidential information, platform misuse, unauthorized access, scraping, credential abuse, or security may cause irreparable harm for which monetary damages may be inadequate. In such cases, mAIndala will be entitled to seek injunctive, equitable, or other provisional relief without the necessity of posting bond or proving actual damages.

19. Suspension and Termination

mAIndala may, at any time and for any reason, with or without notice, suspend or terminate your access to all or any portion of the Platform.

Upon termination, all rights granted to you under these Terms will immediately cease, but all provisions that by their nature should survive will survive, including ownership provisions, disclaimers, releases, indemnities, limitations of liability, dispute resolution, governing law, and any payment obligations.

20. Changes to Terms

mAIndala may modify these Terms at any time by posting updated Terms on the Platform. The updated Terms become effective upon posting or on any later date specified in the updated Terms. Your continued access to or use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.

21. Miscellaneous

These Terms constitute the entire agreement between you and mAIndala regarding the Platform and supersede all prior or contemporaneous understandings relating to the Platform.

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

mAIndala's failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

You may not assign or transfer these Terms, by operation of law or otherwise, without mAIndala's prior written consent. mAIndala may assign these Terms freely.
